my.cnf bind-address problem

Let me start by saying that I am a developer and not so much a systems guy. I know how to use MySql, but configuration is unfortunately out of my scope ... but, I am learning.
I am running a small site that had everything contained on a single server for a while, but it has grown to the point where we now need two servers. I plan on using the smaller one as the webserver and the larger as the DB. While I am having many problems so far, the most difficult seems to be the DB. I can't seem to get the webserver to connect to the DB. It seems like the first step is to modify the my.cnf file, adding a line just below the [mysqld]:
bind-address=xxx.xxx.xxx.xxx ...
however, when i put my webservers address there, starting mysql simply gives me the following message:
Timeout error occurred trying to start MySQL Daemon.
I am trying to find the problem, but so far no luck. Maybe someone has some tips? Here is my entire my.cnf file (primarily stolen off a site online, not too good at the optimizing bit).
