I forsee no problem...
* The data is fully compatible.
* They are both x86, but that is not a requirement.
* Using a VM for a Slave implies that the Slave will be slower. If you are at the limits of replication (which I seriously doubt), then the VM Slave may not keep up.
* Windows vs Linux -- this could cause some table-naming issues due to case folding in Windows. But this is not your situation.
