I am facing the same problem.... I have DB ceated in previous build of MySQL (5.0.7). I copied and pasted the SP in a text file. Made some minor changes and ran the query to create SP. It gives me the same errors that you are getting.
MySQL team says to backup DBs before upgrading or any action like that. But now when I am trying to restore I am not getting anywhere with it.
