Installing on XP as local db service

I am attempting to setup MySQL locally on my machine to do some work without a web server. I can't even get past the installation of the downloaded binary(mysql-4.0.20d-win). I keep getting

"C:\WINDOWS\SYSTEM32\AUTOEXEC.NT. The system file is not suitable for running MS-DOS and Miscrosoft Windows application. Choose 'Close' to terminate the application."

I have a local web service running to provide for the conection via TCP/IP, but I can't even get to that point as you can see.

Any suggestions?

Thank you.
