migration database MySQL 3.23.XX to MySQL 5

I try to migrate my database from MySQL 3.23 to MySQL 5..
anyone can help me how to do that migration?
I have tried using mysqldump in MySQL 3.23 anda dump again in MySQL 5, but i get error..
I have tried using phpmyadmin, I got error too
help me please!!!thanks
