Migration of database from MySQL 4.0.2 to MySQL 5.0

Hi everyone,
I am having a consumer application which is live and maintaining a DB which is storing millions of records.
I am presently using MySQL 4.0.2 and in order to enhancement the database handling, I want to migrate from MySQL 4.0.2 to MySQL 5.0.
Can anyone help me to know all the processes and factors involved while migrating a production database from MySQL 4.0.2 to MySQL 5.0 or above.
