I'm having the same problem. The service starts, and seconds later it stops without a message or warning.
Windows XP log only says it "shut down unexpected" (translated from Swedish, don't know what it says i English).
This problem came after I upgraded MySQL. Not til 4.1.5, but from 4.0.17 to 4.0.21.
