I think I had problems with this, and I solved it by completely uninstalling MySQL, and removing the leftover files, such as config files, logs, and databases.
Then make sure you don't have an incumbent MySQL service process still running. Run "net stop mysql" or use Task Manager to kill any mysqld process you see. You might even reboot to be doubly sure that no MySQL process exists.
Then you can reinstall MySQL 5.0.
I hope you made backups of your databases before you upgraded! :-O
