I'd the same problem and it rectified it as follows.

1. Character set of One of the tables was utf8 while for other was latin1, i assigned utf8 for both.
2. But still i couldn't succeed, so i changed both the column's (one foreign key and other reference column) charset as utf8.

Now it was done for me, and foreign-key relation built.
