Hi!
I had same problem on MySQL 5.0. But the solution was for me :

1. uninstall MySQL from programs. and been sure there is no MySQL service in services list.
2. Uninstall my virus program (I am using antivir)
3. install MySQL 5.0 again at default path (like c:\program files\mysql)
4. checked box about "install as service" in configuration wizard
5. service started with no error..
6. install my virus program again

My OS : Windows XP English with SP2
