No, you cannot just copy the files and start 5.1. Instructions for upgrading from 5.0 to 5.1 can be found here:
http://dev.mysql.com/doc/refman/5.1/en/upgrading.html
Make sure to take a copy of all the files before you start, in case something goes wrong and you have to try again.
