Copying a DB from one MySQL server to another

I have built a database on a MySQL server version 4.0.20a-nt - XP-Pro server
and I want to move/transfer it to another server we have that runs version
3.23.47 - Linux.
I propose doing this by FTPing the files to the other remote server in
binary format.
Will this work????
