Windows 2000 / Error in installation

I am running windows 2000, downloaded MySQL 4.0, I unzipped,
and clicked on setup.exe, I am getting the following error message.
Please help me to fix this and to install MySQL. Thanks in advance.
c:\winnt\system32\autoexec.nt
This system file is not suitable for running MS-DOS and Microsoft windows applications. Choose 'Close' to terminate the application.
