Hi.
Yes to both questions. If your total MySQL server memory consumption is above 2 to 4GB (operating system dependend), you need a 64-bit system.
However, you can have multiple MySQL servers on a (powerful) machine. Each can use that much memory. If your application allows to split the tables on multiple servers, or a replication setup is appropriate, you could make use of plenty of memory.
Anyway. Wheneever you plan for a new big database machine, go with 64 bit.
