I had the same problem with MySQL 5.0 running on Vista Ultimate. Could not connect to the server, 10061. Could not start the MySQL service ("Access Denied.") Did once succeed in connecting, followed a few keystrokes later by a phenomenal crash that filled the .ERR log file with a million zeros and fairly hopeless error messages. Went to sleep very annoyed. Next morning, Uninstalled MySQL 5.0 through the Control Panel. Then manually deleted the MySQL folder in Program Files. Manually deleted the "my.ini" file I had copied to the Windows folder. Deleted the downloaded file. Rebooted. Downloaded a new copy of the full package. Shut down the router. Shut down the AVG firewall. Shut down the AVG Resident Shield. Made sure that Windows Firewall was shut down. Then, opened the install package and reinstalled. Installed without root password. One glitch: it wanted port 3307 not 3306 (must have got this off an orphan registry key). Fixed that in the Configuration Tool. Presto: it runs. Rebooted, restarted firewall and Resident Shield, restarted router. MySQL runs OK.

Then ran into another headache with Migration Toolkit not seeing the Java RE, but that's a bug. The 10061 error, I believe, is the result of firewall and/or antivirus program interference.
